Capital Advisory
Sell-side M&A and transaction advisory for owners of privately held companies.
Overview
Most owners sell a company once
A sale is usually the largest financial decision an owner makes, and it is made against buyers who do this professionally and repeatedly. The company has to be presented, explained, and defended in terms those buyers use.
We advise owners through that decision. The work begins while the question is still whether to sell, and continues through preparation, buyer outreach, negotiation, and close.
Who we work with
We work with owners of established, privately held companies — businesses with real operating history, a proven customer base, and enterprise value substantial enough to warrant a formal process.
- Selling the company, in full or in part
- Bringing in a partner who will take control of the business
- Weighing financing alternatives against a sale

Sell-side processes run confidentially, on a buyer list built around who has reason to act.
Outcomes
What you get
Five areas of the work carry the most weight in the final result.
- 01You have a defensible view of what the company is worth before a buyer makes an offer.
- 02Your financial reporting holds up when a buyer's accountants review it.
- 03Issues a buyer would raise are identified early, while there is still time to address them.
- 04The process is managed for you, so you can keep running the company.
- 05The terms that follow the headline price are negotiated as carefully as the price itself.
Diagnostic first
The first work is deciding whether to sell
Some companies are worth materially more in two years than they are today, and some owners find, once they have seen the numbers, that a sale is not what they want at all. The first stage of the work is always diagnostic, and it comes before you commit to a process.
Where a sale is the right course, much of the outcome is determined before the company goes to market. The reporting a buyer will test, the pricing and margin structure behind the valuation, and the systems the company runs on all affect the result. That preparation is part of the engagement.

Capital Advisory services
Sell-side M&A
The core of the practice. We take the company to market and run the sale from positioning through close: the marketing materials, the buyer list, the management meetings, the offers, and the negotiation that follows them.
Exit readiness
Before anything goes to market, whether it should, and what the alternatives are worth.
Valuation
What the company is worth now, which drivers move that number, and how a buyer will read the same figures.
Quality of earnings
We rebuild the earnings picture so it survives a buyer's accountant, and fix what would otherwise surface halfway through diligence.
Capital structure advisory
When the question is financing, we advise on what the balance sheet can carry, what each option costs in control and in cash, and how to prepare the company for a lender or investor process.
Buy-side and acquisitions
Defining what to buy, finding it, and modelling what it does to the business once it is inside.
Financial and operational diligence
On the buying side, we test earnings, working capital, and systems, so you either close on your terms or reprice with cause.
Post-close integration
The first hundred days, planned before closing, so the value in the model still exists a year later.
Next step
Understand where you stand
If you are considering a sale, reviewing an offer you did not expect, or weighing whether the timing is right, we can give you a clear read on where the company stands. The first conversation is confidential.
